RESOLUTION NO. 2025- R-25-55
A RESOLUTION APPROVING AMENDMENT NO. 2 TO THE POWER SUPPLY
AGREEMENT WITH MC SQUARED ENERGY SERVICES, LLC, FOR THE
VILLAGE'S ELECTRICITY AGGREGATION PROGRAM
WHEREAS, Article VII, Section 10 of the 1970 Illinois Constitution and the Illinois
Intergovernmental Cooperation Act, 5 ILCS 220/1, et seq., authorizes and encourages
intergovernmental cooperation; and
WHEREAS, Section 1-92 of the Illinois Power Agency Act, 20 ILCS 3855/1-92,
authorizes the corporate authorities of a municipality to establish an opt -out program for the
aggregation of electrical loads of residential and small commercial retail customers
("Electricity Aggregation Program'); and
WHEREAS, the Village is a member of the North Shore Electricity Aggregation
Consortium, the purpose of which is to facilitate joint action and intergovernmental
cooperation concerning the Electricity Aggregation Program; and
WHEREAS, on July 6, 2021, the Village and MC Squared Energy Services, LLC (`SIC
Squared') entered into a Master Power Supply Agreement ("Agreement') for the supply by
MC Squared of electricity to and for the Electricity Aggregation Program, for a term
commencing July 6, 2021 and ending on the last meter read cycle end date in October 2024;
and
WHEREAS, on August 19, 2024, the Village and MC Squared entered into
Amendment No. 1 to the Agreement to extend the term of the Agreement for an additional
twelve-month term through October 2025; and
WHEREAS, the Village and MC Squared now mutually desire to further amend the
Agreement to extend the term of the Agreement for an additional 24-month term through
October 2027 ("Amendment No. 2'); and
WHEREAS, the Village Board has determined that entering into Amendment No. 2
with MC Squared will serve and be in the best interests of the Village and its residents; and
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE BOARD OF
DEERFIELD, LAKE AND COOK COUNTIES, ILLINOIS, as follows:
SECTION 1: RECITALS. The Village Board hereby adopts the foregoing recitals as
its findings, as if fully set forth herein.
SECTION 2: APPROVAL OF AMENDMENT NO. 2. The Village Board hereby
approves Amendment No. 2 in substantially the form attached to this Resolution as Exhibit
A and in a final form approved by the Village Attorney.

SECTION 3: AUTHORIZATION TO EXECUTE AMENDMENT NO. 2. The
Mayor and the Village Clerk are hereby authorized and directed to execute and attest, on
behalf of the Village, the final Amendment No. 2 upon receipt by the Village Clerk of at least
one original copy of the final Amendment No. 2 executed by MC Squared; provided, however,
that if the executed copy of the final Amendment No. 2 is not received by the Village Clerk
within 60 days after the effective date of this Resolution, then this authority to execute and
attest will, at the option of the Mayor and Board of Trustees, be null and void.
SECTION 4: EFFECTIVE DATE. This Resolution will be in full force and effect
from and after its passage and approval by a majority of the members of the Board of
Trustees.
