RESOLUTION NO. 2025- R-25-01
A RESOLUTION APPROVING A LETTER OF INTENT WITH
VEREGY, LLC FOR AN ENGINEERING ASSESSMENT
FOR THE DESIGN OF A SOLAR SYSTEM
WHEREAS, the Village of Deerfield ("Village') is a home rule municipality in
accordance with Article VII, Section 6 of the Constitution of the State of Illinois of 1970; and
WHEREAS, the Village desires to install a ground -mounted solar panel system at the
Village's Wastewater Treatment Plant ("System'); and
WHEREAS, in November, 2024, the Village sought proposal for the award of a
contract for the System ("Contract'); and
WHEREAS, prior to awarding a Contract for the installation of the System, the
Village desires to enter into a letter of intent ("LOP) with Veregy, LLC ("Veregy') to provide
engineering services for the design of the System ("Engineering Services'; and
WHEREAS, the cost for the Engineering Services from Veregy is $22,720, provided,
that expense will be credited against the final cost of the Contract if the Contract is awarded
to Veregy; and
WHEREAS, the Mayor and Board of Trustees have determined that entering into the
LOI with Veregy will serve and be in the best interest of the Village and its residents;
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE BOARD OF
DEERFIELD, LAKE AND COOK COUNTIES, ILLINOIS, as follows:
SECTION 1: RECITALS. The Village Board hereby adopts the foregoing recitals as
its findings, as if fully set forth herein.
SECTION 2: APPROVAL OF LOI. The LOI by and between the Village and Veregy
is hereby approved in substantially the form attached to this Resolution as Exhibit A, and
in a final form and substance acceptable to the Village Manager and the Village Attorney.
SECTION 3: AUTHORIZATION TO EXECUTE LOI. The Mayor and the Village
Clerk are hereby authorized and directed to execute and attest, on behalf of the Village, the
final LOI upon receipt by the Village Clerk of at least one original copy of the final LOI
executed by Veregy; provided, however, that if the executed copy of the final LOI is not
received by the Village Clerk within 60 days after the effective date of this Resolution, then
this authority to execute and attest will, at the option of the Mayor and Board of Trustees,
be null and void.
SECTION 4: EFFECTIVE DATE. This Resolution shall be in full force and effect
from and after its passage and approval by two-thirds of the Village Board according to law.

Re: Village of Deerfield: Investment Grade Audit (IGA) for Ground Mount Solar Array
Dear Mrs. Melone:
The Village of Deerfield has selected Veregy as the Qualified Provider to provide an IGA for solar projects at the
Village's WWTP. The scope of work, price, and savings are to be determined under the final design and
negotiations.
It is the intent of the Village of Deerfield to negotiate and enter into a contract with Veregy, given Veregy's ability
to meet the client's financial and technical requirements. Execution of a final agreement will be contingent upon
the following items:
• Veregy shall perform detailed engineering assessment and provided necessary Engineering services to
properly design the systems and renovations that the client would like to implement. The costs for these
services will then be rolled into the final approved contract between Veregy and the Village of Deerfield.
• In the event that the Village of Deerfield does not move forward with the final contact, Veregy will be
reimbursed for the development in the amount of $22,720.00 for the following Energy Conservation
Measure (ECM's) provided in our preliminary assessment:
• The Village of Deerfield shall have input into the design and selections of the systems, contractors and the
scope of work to best meet the client's needs.
ECM-1: Ground Mount Solar at WWTP
Because the Village of Deerfield would like to implement these improvements as soon as possible, all negotiations
will take place in a prompt manner.
