( "Owner "), being the owner of a certain tract of property located at the northeast quadrant of Saunders Road and Lake Cook Road and legally described on Exhibit A attached hereto and made a part hereof (the "Subject Property "), has petitioned the Plan Commission of the Village of Deerfield pursuant to the provisions of Article 6.01 -C, Paragraph 4,c, Article 12.09 -G, and Article 13.11 of the Zoning Ordinance of the Village of Deerfield and certain provisions of the Annexation Agreement by and between the Village of Deerfield and Owner dated January 18, 2005 (the "Annexation Agreement ") for approval of a Special Use and a minor amendment to the Takeda Master Plan to permit the establishment of an employee sports field and to approve an increase in the grade of the sports field area by approximately four feet (4.0'), as an amendment to the Takeda Park Industrial Planned Unit Development heretofore approved as a Special Use of the Subject Property in the I -1 Office, Research and Restricted Industrial District; and, WHEREAS, the Plan Commission of the Village of Deerfield held a public hearing on February 25, 2010 to consider Owner's request for a Special Use and an amendment to the Takeda Master Plan to permit the establishment of an unlit sports field for soccer, softball and other field games, and a sand volleyball court to be used by Takeda employees as a Special Use of the Subject Property in the I -1 Office, Research and Restricted Industrial District, said hearing being held pursuant to public notice and conforming in all respects, in both manner and form, with the requirements of the statutes of the State of Illinois and the Zoning Ordinance of the Village of Deerfield; and, WHEREAS, the Plan Commission of the Village of Deerfield, after considering the evidence and supporting materials presented at said public hearing, filed its report with the President and Board of Trustees containing its written findings of fact and recommendations that a Special Use and a minor amendment to the Takeda Master Plan to permit the establishment of an employee sports field and to approve an approximate four feet (4.0') increase in the grade of the sports field area, be authorized pursuant to Article 6.01 -C, Paragraph 4,c, Article 12.09 -G and Article 13.11 of the Zoning Ordinance of the Village of Deerfield, and pursuant to Section 9 of the Annexation Agreement, as an amendment to the Takeda Park Industrial Planned Unit Development heretofore approved as a Special Use of the Subject Property in the I -1 Office, Research and Restricted Industrial District; and, WHEREAS, the President and Board of Trustees of the Village of Deerfield have determined that the best interests of the Village will be served by the authorization and granting of said Special Use and amendment to the Takeda Master Plan as an amendment to the Takeda Park Industrial Planned Unit Development, all in accordance with the plans, representations and supporting materials submitted by the Owner which are incorporated herein and made a part hereof by this reference; NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF DEERFIELD, LAKE AND COOK COUNTIES, ILLINOIS, in -2- the exercise of its home rule powers, as follows: SECTION 1: That the above and foregoing recitals, being material to this Ordinance, are hereby incorporated by this reference and made a part of this Ordinance as if fully set forth herein. SECTION 2: That the President and Board of Trustees do hereby affirmatively find that the proposed employee sports field consisting of an unlit sports field to be used for soccer, softball and other field games, and a sand volleyball court, and the minor amendment to the Takeda Master Plan to permit the employee sports field and to increase the grade of the sports field area by approximately four feet (4.0'), hereby authorized as a Special Use of the Subject Property in the Takeda Park Industrial Planned Unit Development, fully complies with the requirements and standards for special uses set forth in Article 6.01 -C, Paragraph 4,c, Article 12.09 -G and Article 13.11 of the Zoning Ordinance of the Village of Deerfield. SECTION 3: That the President and Board of Trustees do hereby authorize and approve, subject to the conditions, regulations and restrictions set forth in Section 4 of this Ordinance, the establishment of an employee sports field consisting of an unlit sports field to be used for soccer, softball and other field games, and a sand volleyball court, and a minor amendment to the Takeda Master Plan to permit the employee sports field and to increase the grade of the sports field area by approximately four feet (4.0'), as a Special Use of the Subject Property and as amendment to the Takeda Park Industrial Planned Unit Development heretofore approved as a Special Use in the I -1 Office, Research and Restricted Industrial District. SECTION 4: That the approval and authorization of said Special Use and minor amendment to the Takeda Master Plan is granted subject to the following conditions, regulations and restrictions: A. That the construction, development and use of an employee sports field on the Subject Property shall be in accordance with the documents, materials and exhibits listed on -3- Exhibit B and incorporated by reference and made a part hereof. B. Owner's initial and continued compliance with the provisions of Ordinances 0 -05- 18, 0- 06 -41, 0 -07 -31 and 0- 09 -05, and with the documents, materials and exhibits comprising the Final Development Plan for the Takeda Park Industrial Planned Unit Development heretofore approved for the Subject Property, as hereby amended. C. Owner shall fully and completely comply with all of the terms and conditions set forth in that certain Annexation Agreement by and between the Village of Deerfield and Takeda Pharmaceuticals North America, Inc. dated January 18, 2005. D. Owner's initial and continued compliance with this Ordinance and with all applicable provisions of the Development Code and Zoning Ordinance of the Village of Deerfield. E. Full and complete compliance with all of the terms and conditions set forth in the Development Agreement by and between Takeda Pharmaceuticals North America, Inc. and the Village of Deerfield. F. All representations submitted and made by Owner to the Plan Commission and to the President and Board of Trustees of the Village of Deerfield. SECTION 5: That the Special Use as hereby authorized shall be binding upon and shall inure to the benefit of the Owner and Owner's successors, grantees, transferees and assigns, and any violation of the conditions set forth herein by the Owner or its successors, grantees, transferees or assigns shall authorize the revocation of the Special Use as hereby authorized. SECTION 6: That the Village Clerk is hereby authorized and directed to record this Ordinance in the Office of the Recorder of Deeds of Lake County, Illinois at applicant's expense. SECTION 7: That this Ordinance, and each of its terms, shall be the effective legislative act of a home rule municipality without regard to whether such Ordinance should: (a) contain terms contrary to the provisions of current or subsequent non - preemptive state law; or, (b) legislate in a manner or regarding a matter not delegated to municipalities by state law. It is the intent of the corporate authorities of the Village of Deerfield that to the extent that the terms of this Ordinance -4- should be inconsistent with any non - preemptive state law, this Ordinance shall supersede state law in that regard within its jurisdiction. SECTION 8: That this Ordinance shall be in full force and effect from and after its passage, approval and publication in pamphlet form as provided by law. PASSED this 19th day of April , 2010. Below is a brief description of the Athletic Field Improvements and how these improvements meet the special use standards. Improvements The Athletic Field Improvements will consist of green pervious outdoor space for the use and enjoyment of Takeda's employees. The improvements will be located on the north side of the Takeda campus across Takeda Parkway from the existing office buildings. The Athletic Field Improvements will include a mixed -use sports field which can be used for soccer, softball and other field games, and a volleyball court. The only significant above ground improvements will be the softball backstop, soccer goals, volleyball net, and a black chain link fence along a portion of the north and west side of the softball field. The Athletic Field Improvements will not be lit. Bluegrass and perennial ryegrass sod, chosen for sports applications will be laid for the Athletic Field Improvements in early spring in hope of the improvements being ready for use in the summer of 2010. Beach sand will be used for the volleyball court. A new sidewalk will be constructed to provide a protected means for employees to walk to the Athletic Field Improvements. Our plans indicate where safety and directional signage (such as pedestrian crossing signs and crosswalk striping) will be located on the existing Takeda Parkway access road. Site Improvements There will be no traffic or roadway improvements required for the Athletic Field Improvements. Takeda will be performing site grading to the extent needed for the Athletic Field Improvements. Please note that the site grading for the Athletic Field Improvements corresponds to the site grading needed for eventual full buildout of the Takeda Master Plan. Site grading currently under way in the area where the Athletic 5253367 03104171 1 AAA a- 10 -0-1 E'< .6 3.1 t6 1� Field Improvements will be located is being done pursuant to the Master Plan and in accordance an early start permit issued pursuant to the Annexation Agreement. The area being graded for the proposed Athletic Field Improvements was earmarked for a possible future hotel on the Master Plan. Currently there is not a need for a hotel on the site, so Takeda would like to take advantage of the availability of this land by providing a recreational area for its employees. We reserve the right to locate a hotel in this area in the future pursuant to the Master Plan. Grading is also being done pursuant to the Master Plan in the area east of the proposed Athletic Field Improvements which area is earmarked for a possible day care center in the Master Plan. The grading being done in both areas is the grading necessary for full build out of a potential day care and hotel. Plans for the day care are currently under consideration. Takeda anticipates coming to the Village for approval of the day care in the spring or summer of 2010. Depending on the final size and configuration of the day care, the volleyball court currently shown on the plans for the Athletic Field Improvements may not be constructed in order to make room for a larger outdoor play area. The site grading in the northern area of the site where the Athletic Field Improvements will be located is roughly four feet higher in certain areas than the Master Plan grading for those areas. Although this area is higher, the aesthetics of the 70 acre site will not be altered because the relationship among the building areas to the south and the day care and Athletic Field Improvements (and possible future hotel) to the north remain consistent with the Master Plan. Pursuant to the Master Plan, Buildings 1 and 2 in the southeast quadrant of the site have the highest grade on the site (approximately 697 feet), Buildings 3, 4, and 5 in the southwest quadrant of the site have the lowest grade on the site which is approximately 13 feet below the grade of Buildings 1 and 2 (683.75 feet) and the future day care and hotel (now the proposed Athletic Field Improvements area) in the north area of the site fall in between these two grades with a proposed grade of approximately 686 feet. The current plan uses a grade of approximately 690 feet for this area. The higher grade in the current plan still situates the proposed day care and hotel (now the proposed Athletic Field Improvements area) between the higher grades of Buildings 1 and 2 and lower grades of Buildings 3, 4 and 5. On a large site like the Takeda Site the increase of a few feet is part of the normal progression of development and balancing of the site. Indeed the remote delivery center and the parking lot just south of the Athletic Field Improvements are a foot higher than the Master Plan grades as part of the same progression. The goal of the Master Plan has always been to create a balanced site that works together as a unit, in which the relationship between the buildings remains consistent. We believe the proposed grading change is a minor amendment to the Master Plan. Use of Fields The Athletic Field Improvements will be solely for the use of Takeda employees. All games and uses will be scheduled through the Takeda Sports Club. The Athletic Field Improvements will be used predominantly during the summer months while the weather is nice and also a few days in the spring and autumn as the weather permits. The exact frequency of use is unknown at this time. The frequency of use will depend on employee interest in using the improvements. If in the future the Takeda Sports Club seeks outside competition it may coordinate games with other companies who sponsor sports teams. However, we do not anticipate any use of the Athletic Field Improvements solely by third parties. Compliance with Special Use Standards and Minor Amendment Standards We are requesting approval of the Athletic Field Improvements as a special use .pursuant to Section 7(h)(iv) of the Takeda Annexation Agreement and Section 6.01 - C(4)(c) of the Deerfield Zoning Ordinance. The Athletic Field Improvements will be an outdoor facility operated for the convenience of the employees at the Takeda office campus as envisioned in the Zoning Ordinance. The proposed Athletic Field Improvements meet all of the special use standards applicable to the site under the Deerfield Zoning Ordinance. Proposed findings demonstrating such compliance are attached to this Statement of Intent. Additionally, because there is currently not a need for a hotel on the site we are requesting the change to allow the Athletic Field Improvements in that area as a minor amendment to our Phase II Final Plan and the Master Plan pursuant to Section 9(e) of the Takeda Annexation Agreement. However, in doing so we are not modifying the provisions of the Master Plan approval applicable to a future hotel use, as it remains possible we will pursue a hotel use in this area at a future time. Finally, as discussed above, as part of the progression of the site, the grading for the Athletic Field Improvements and the future day care and hotel area is higher than the grades shown on the Master Plan. Pursuant to Section 9(e) of the Annexation Agreement, we request approval of the change in grade as a minor amendment to the Master Plan because the change in grade does not represent a significant reorientation of the improved areas on the Property or a substantial change in use.
