A RESOLUTION GRANTING CONSENT TO THE TRANSFER OF
CONTROL OF OMNICOM CABLEVISION OF ILLINOIS, INC. FROM
CAPITAL CITIES COMMUNICATIONS, INC. TO THE WASHINGTON POST COMPANY
WHEREAS, Omicom Cablevision of Illinis, Inc. is a cable televi-
sion franchisee in Deerfield, and Omnicom Cablevision of Illinois,
Inc. is a wholly -owned subsidiary of Capital Cities Communications,
Inc. ( "Capital Cities "); and
WHEREAS, The Washington Post Company ( "Post Company ") has agreed
to purchase all of Capital Cities' stock in Omnicom Cablevision of
Illinois, Inc., subject to such prior governmental approval as may
be required; and
WHEREAS, the Post Company has shown its financial responsibility
and has agreed that its subsidiary will comply with all applicable
terms, conditions and obligations of the franchise and related
ordinances, currently in effect; and
WHEREAS, consent has been requested as to the proposed trans-
action;
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND -BOARD OF
TRUSTEES OF THE VILLAGE OF DEERFIELD, LAKE AND COOK COUNTIES,
ILLINOIS, AS FOLLOWS:
SECTION That consent is hereby granted, as requested, pursuant
ONE: to Paragraph 13 of the CATV Enabling Ordinance for the
Village of Deerfield, to enable the parties to proceed
with the transfer of control of Omnicom Cablevision of Illinois,
Inc. from Capital Cities to the Post Company.
SECTION That this Resolution shall be in full force and effect
TWO: from and after its passage in the manner provided by
law.
