R -79- 3 WHEREAS, the Village of Deerfield and the Township of West Deerfield have heretofore entered into a contract to exchange certain designated parcels of property; and WHEREAS, in connection with such exchange of properties it is necessary to obtain a policy of title insurance; and WHEREAS, the preliminary report on title issued by the Chicago Title and Trust Company indicates objections relating to claimed general real estate taxes for 1960; and WHEREAS, the Village acquired the subject property in 1958 and therefore such property would be exempt from taxes for the year in question; and WHEREAS, the Chicago Title and Trust Company is willing to waive such objections based upon an indemnification from the Village, NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF DEERFIELD, LAKE AND COOK COUNTIES, ILLINOIS, AS FOLLOWS: SECTION That the Board of Trustees of the Village of Deerfield hereby ONE: agrees to indemnify and hold the Chicago Title and Trust Company harmless against any claims or demands of any nature whatsoever arising out of the possibility of unpaid general real estate taxes for the year 1960. SECTION That this indemnification is entered into in consideration of TWO: the Chicago Title and Trust Company waiving any title objections with regard to taxes for such year. SECTION That the Village President and the Village Clerk are hereby THREE: authorized to execute such indemnification and hold harmless agreement and any and all other documents which may be necessary in order to effectuate such indemnification and hold harmless agreement.
