BE IT ORDAINED BY THE PRESIDENT AND BOARD OF TRUSTEES OF \THE VILLAGE OF
DEERFIELD, LAKE AND COOK COUNTIES, ILLINOIS, AS FOLLOWS:

SECTION That the County Clerk of Lake County and the County
ONE: Clerk of Cook County are hereby authorized and directed
to abate $162,625.00 of the tax of $162,625.00 heretofore
provided for and levied in the Ordinance (No. 0- 73 -32) providing for the
issuance of Sewage Treatment Facilities Bonds of the Village of Deerfield,
Lake and Cook Counties, Illinois, passed May 21, 1973, a copy of which is
filed with the County Clerks.
SECTION That the Village of Deerfield has on hand sufficient funds
TWO: from bond proceeds and interest thereon to pay $162,625.00
of the total tax levied by the above - described Ordinance
for the fiscal year commencing May 1, 1977, therefore, no tax levy is
necessary.
SECTION That the Village Clerk is hereby directed to file certified
THREE: copies of this Ordinance with the County Clerks of Lake and
Cook Counties.
SECTION That this Ordinance shall be in full force and effect from

RESOLUTION
WHEREAS, the Village of Deerfield, hereinafter referred to as
MUNICIPALITY, located in the Counties of Lake and Cook, State of Illinois,
desires to undertake, in the year 1978, the location, construction, operation
and maintenance of driveways and street returns, watermains, sanitary and
storm sewers, street lights, traffic signals, sidewalks, landscaping, and so
forth, on State highways, within said MUNICIPALITY, which by law and /or
agreement come under the jurisdiction and control of the Department of Trans-
portation of the State of Illinois hereinafter referred to as Department; and
WHEREAS, an individual working permit must be obtained from the
Department prior to any of the aforesaid installations being constructed either
by the MUNICIPALITY or by a private person or firm under contract and super-
vision of the MUNICIPALITY.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Board
of Trustees of the Village of Deerfield:
FIRST: That the MUNICIPALITY hereby pledges its good faith and
guarantees that all work shall be performed in accordance with the conditions
of the permit to be granted by the DEPARTMENT, and to hold the State of
Illinois harmless on account of any damages that may occur to persons or
property during the prosecution of such work, and assume all liability for damages
to persons or property due to accidents or otherwise by reason of the work which
is to be performed under the provision of said permit.
SECOND: That all authorized officials of the MUNICIPALITY are
hereby instructed and authorized to sign said working permit on behalf of the
MUNICIPALITY.

WHEREAS, The Children's Theater of Deerfield was founded
in 1975, and has joined forces with the Deerfield Park District to pro-
vide a meaningful theatrical experience for the children of Deerfield;
and
WHEREAS, The Children's Theater is a self - supporting, non
profit corporation, chartered by the State of Illinois, with all proceeds
going toward funding future productions; and
WHEREAS, on the week -ends of December 2nd, 3rd and 4th
and 9th, 10th and 11th, The Children's Theater will present "TOM
SAWYER" A Musical Adventure, at the Wilmot Junior High School
Auditorium; and

WHEREAS, the Plan Commission of the Village of Deerfield has
submitted a proposed draft of a Comprehensive Amendment to the Zoning
Ordinance of the Village of Deerfield; and
WHEREAS, said Comprehensive Amendment was developed in the
course of Plan Commission meetings and continuing efforts by the Planning
staff of the Village of Deerfield, a period in excess of two years; and
WHEREAS, said Comprehensive Amendment deals with and benefits
all property within the Village; and
WHEREAS, the consideration by the Plan Commission of petitions
for amendments to or relief from the provisions of the present Zoning Or-
dinance of the Village of Deerfield as to individual parcels of property
will both delay consideration of the Comprehensive Amendment and may
result in recommendations not in harmony with the Comprehensive Amend-

WHEREAS, it is considered essential to the economic and social welfare
of the Village of Deerfield that the business district be maintained and
revitalized by assuring opportunities for development and redevelopment and
attracting sound and stable commercial growth; and
WHEREAS, such a result should conform to the Comprehensive Plan of the
Village of Deerfield and a specific plan for the business district official!y
approved by the corporate authorities of the Village of Deerfield after con -
sideratiun thereof; and
WHEREAS, the exercise of the powers provided by Chapter 24, Section
11- 74.3 -1, et seq., Illinois Revised Statutes, is dedicated to the promotion
of public interest and. to the enhancement of the tax base of the Village of
Deerfield business district and the use of such powers for the development
and redevelopment of the business district of the Village of Deerfield is
hereby declared to be a public use essential to the public interest.

A RESOLUTION APPROVING AND AUTHORIZING
A CAPITAL GRANT AGREEMENT BETWEEN THE
STATE OF ILLINOIS, DEPARTMENT OF TRANSPORTATION
AND THE VILLAGE OF DEERFIELD, ILLINOIS
WHEREAS, The State of Illinois Department of Transportation has
received funding approval from the United States Department of Transporta-
tion, Urban Mass Transportation Administration, for Phase II of the Com-
muter Parking Program of the Village of Deerfield; and
WHEREAS, pursuant to such approval, the Agreement providing
for State and Federal participation in the construction of said commuter
parking facilities has been prepared; and
WHEREAS, the Capital Grant Agreement has been presented to
the Village of Deerfield for approval and signature by the Mayor,of
the Village:

CAPITAL GRANT AGREEMENT
PART I
between

DIVISION OF PUBLIC TRANSPORTATION
and
THE VILLAGE OF DEERFIELD
Contract No. 409
Application No. CAP -74- 046 -Fed.
This Agreement is made by and between the State of
Illinois, (hereinafter referred to as "State "), acting by
and through the Division of Public Transportation, in the
State of Illinois Department of Transportation (both
hereinafter collectively referred to as the "Department ")
and the Village of Deerfield with Offices at 850 Waukegan
Road, Deerfield, Illinois, 60015, a municipality created
under the laws of the State of Illinois (hereinafter referred
to as the "Grantee ", which term shall include its successors
and assigns).
WHEREAS, the Grantee is undertaking a mass transpor-
tation capital project (hereinafter referred to as the
"Project "); and
WHEREAS, the Grantee has made application to the
Department for State aid for the Project in accordance
with the provisions of the Illinois Revised Statutes
(1975), Chapter 127, Sections 49 through 51 and 701
through 711 (hereinafter referred to as the "Acts ") and
the procedural guide entitled Mass Transportation Capital
'I%pr'oveinent Grants Information for Applicants (July, 1974) ;
and

WHEREAS, the Grantee's final application has been
approved by the Department; and
WHEREAS, the Department-has made application on-behalf
of the Grantee and other communities to the United States
of America (hereinafter referred to as the "Government ") for
Federal financial assistance for this Project and ten
(10) other, similar, commuter parking improvement projects;
and
WHEREAS, such application has been approved by the
Urban Mass Transportation Administration (UMTA) as Project
Number IL -23 -2003;
NOW THEREFORE, in consideration of the mutual covenants
hereinafter set forth, this Agreement is made to provide
State financial assistance in.the form of a capital grant
(hereinafter referred to as the "State Grant "), to provide
for the administration of Federal financial assistance
(hereinafter referred to as the "Federal Grant "), to set
forth the terms and conditions upon which the State and
Federal Grants will be made available and to set forth the
agreement of the Parties as to the manner in which the
Project will be undertaken, completed and used.

ITEM '1 - THE PROJECT
The Grantee agrees to undertake and complete the
Project and to provide for the use of Project facilities
and equipment as described in the Grantee's final application
approved by the Department, as specified by the approved
Project Budget and in accordance with this Agreement and
all applicable laws. The Project, which is more particularly
described in the plans, specifications and schedules set
forth in the Grantee's final application, is generally
described as the construction of new parking facilities
with provisions for adequate ingress and egress, land-
scaping, and reserved spaces for the handicapped. The
Project will provide approximately 385 additional spaces
for commuter parking usage.
ITEM.2' AMOUNT OF GRANT
The Net Project Cost is estimated to be $294,474
The Department agrees to administer and to make available
Federal Grant funds pursuant to and in accordance with '
the terms of Urban Mass Transportation Administration
Project Number IL -23 -2003, and if necessary to make a State
Grant pursuant to and in accordance with CAP -74- 046 -Fed.,
all in a total amount sufficient to meet all Project Costs
less the approved valuation of real property dedicated
by the Grantee for use as part of the Project; provided,

however, that the total obligation of the State to provide
such grants shall not exceed 90% of the Actual Net Project
cost, as determined by the Department upon completion of the
Project or $265,027, whichever is less. The total
amount of Federal assistance committed under IL -23 -2003
for all projects is $4,397,239 and the total amount of
State assistance commited under CAP -74- 046 -Fed., for all
projects is $1,997,390. The State is obligated by this
Agreement and by all other Project Agreements to only
provide funds not in excess of the maximum amounts so
committed for all Projects. All State obligations under
this Contract shall be contingent on continued Federal
participation in Project Number IL -23 -2003.
The Grantee agrees to dedicate for use as a part of
the Project such real property owned by the Grantee at the
time of the approval of its application as is designated
in such application and supporting documents as all or
part of the Project site. The full valuation of such
land, as approved by the Department and UMTA, shall be
applied as the Grantee's local share of Project costs;
provided, however, that the Grantee agrees to provide
as local share not less than 10% of the actual Net Project
Cost. If the approved valuation of real property so

dedicated is less than such percentage, the Grantee agrees
to provide from sources other than (a) the State Grant,
(b) Federal funds, (c) receipts from the use of Project
facilities and equipment, or (d) revenues of the public
transportation system in which such facilities and
equipment are used, funds in the amount sufficient to,
together with the valuation of real property dedicated to
the Project, assure payment of 100 of the Actual Net Project
Cost. All or part of the local share in excess of land
dedication may, with the express written prior approval
of.the Department, be provided by the Grantee in the form
of contributions of professional, technical or other
services.
'ITEM 3 - DOCUMENTS FORMING THIS AGREEMENT
The Parties agree that this constitutes 'the entire
Agreement between the Parties hereto, that there are no
agreements or understandings, implied or expressed, except
as specifically set forth in this Agreement, and that all
prior agreements and understandings, in this connection,
are merged into and contained in this Agreement. The
Parties hereto further agree that this Agreement consists
of this Part I, entitled "Commuter Parking Mass Transportation
Capital Grant Agreement ", together with Part II,
entitled "Commuter Parking Mass Transportation Capital

Grant Agreement -.General Terms and Conditions "; Exhibit
"A ", entitled "Grantee's Application "; Exhibit "B"

Government, as the Department may direct. The project
close -out occurs when the Department notifies the Grantee
and forwards the final grant payment or when an appropriate
refund of State and /or Federal grant funds has been received
from the Grantee and acknowledged by the Department and /or
UMTA. Close -out shall be subject to any continuing obligations
imposed on the Grantee by this contract or contained
in the final notification or acknowledgement from

the Department.
ITEM 110 CONTRACTS OF THE GRANTEE
Except as otherwise authorized in writing by the
Department, the Grantee shall not execute any contract
or obligate itself in any other manner with any third party
with respect to the Project without the prior written
concurrence of the Department.
ITEM 111 - "GRANTEE'S WARRANTIES
Grantee agrees to initiate and consummate all actions
necessary to enable it to enter into this Agreement. Grantee
warrants that there are no provisions of its charter, by -laws
or any rules, regulations, or legislation which prohibits,

voids, or otherwise renders unenforceable against Grantee
any provision or clause of this Agreement. Grantee warrants
further that it has paid all Federal, State, and local
taxes levied or imposed and will continue to do so,
excepting only those which may be contested in good faith,
that Grantee has or will obtain all licenses, permits
or other authorizations required to meet the obligations
assumed hereunder and that Grantee will comply with all
lawful statutes, ordinances, rules, and regulations as
may apply to the obligations assumed hereunder. Grantee
agrees that upon execution of the Agreement, Grantee will
deliver to the Department:
(a) An opinion of counsel, acceptable to the Department,
that Grantee is an eligible applicant, that Grantee
has complied fully with the pertinent requirements
of State and Federal law, its charter, by -laws and
internal procedures, that there is no pending
litigation concerning the authority of Grantee to
enter into this Agreement, ,and that this Agreement
Is legally binding upon Grantee;
(b) A certified copy of the resolution of its governing
board authorizing and approving execution of this
Agreement; and

(c) If requested by the Department, a statement of its
financial condition acceptable to the Department.
ITEM 112 - MINORITY BUSINESS ENTERPRISE
In connection with the performance of this contract,
the.Grantee will provide for the maximum utilization of
minority business enterprises and will use its best efforts
to ensure that minority business enterprises shall have
the maximum practicable opportunity to compete for contract
and subcontract work under this contract.
'ITEM 113 COMPETITIVE BIDDING
Grantee agrees to give full opportunity for free, open
and competitive bidding for each contract to be let by
Grantee calling for construction or furnishing of any
materials, supplies, or equipment to be paid for with
Project Funds and Grantee shall.give such publicity in its
advertisement's or calls for bids for each such contract
as will provide adequate competition. The award of each
such contract shall be made by Grantee as soon as
practicable to the lowest responsible bidder except
as otherwise provided in guidelines of the Department or
ASSUMPTION OF AGREEMENT
THE UNDERSIGNED acknowledges that STANDARD DISPOSAL SERVICE
OF ILLINOIS is the Assignee of a certain Scavenger Service Agree-
ment by and between the VILLAGE OF DEERFIELD, Illinois and SCA
SERVICES OF ILLINOIS, INC. Pursuant to Section 13 of said
Agreement, the undersigned on behalf of STANDARD DISPOSAL SER-
VICES OF ILLINOIS, INC. hereby assumes all of the obligations of
SCA SERVICES OF ILLINOIS,'INC. as contained in said Agreement
and agrees to be bound in accordance with its terms for the
balance of the term thereof.
