RESOLUTION
WHEREAS, the Village of Deerfield has previously established
a Bicentennial Commission to commemorate the 200th anniversary of
the founding of the United States of America; and
WHEREAS, said Village of Deerfield Bicentennial Commission
desires to plan for and erect certain artistic improvements
within the Village of Deerfield in furtherance of the Bicenten-
nial celebration; and
WHEREAS, the Bicentennial Commission has presented to the
Village Board of Trustees a conceptual plan for the construction
of a sculpture garden on certain properties owned by the Village
of Deerfield; and
WHEREAS, the Bicentennial Commission has requested the
Village of Deerfield to assist in obtaining funds for the con-
struction of said sculpture garden,
NOW, THEREFORE, BE IT RESOLVED that there is hereby
established by the Corporate Authorities a fund to be known as.
the "Village of Deerfield Sculpture Garden Fund" for the purpose
of receiving and collecting contributions received by the Village
of Deerfield to be applied to the construction and maintenance
of the sculpture garden as proposed by the Bicentennial Commission.

THIS AGREEMENT, entered into this 19th day of August
1976, by and between the VILLAGE OF DEERFIELD, an Illinois
corporation ( "VILLAGE "), WEST DEERFIELD TOWNSHIP ( "TOWNSHIP "),
and the VILLAGE OF DEERFIELD LIBRARY BOARD ( "LIBRARY "),

W I T N E S S E T H:
WHEREAS, the Parties hereto are governmental units
operating within the corporate limits of the Village of Deerfield;
and
WHEREAS, the Parties hereto occupy adjacent premises within
the Village of Deerfield; and
WHEREAS, the VILLAGE and LIBRARY hereto wish to participate
in the construction, financing and maintenance of a Bicentennial
Sculpture Garden and related improvements to commemorate the
Bicentennial Year within the Village of Deerfield in the manner
hereinafter described; and
WHEREAS, the TOWNSHIP consents to the use of a portion of
TOWNSHIP property for the erection of such Sculpture Garden; and
WHEREAS, the Parties hereto wish to cooperate in a joint
effort to achieve this goal,
NOW, THEREFORE, in consideration of the mutual covenants
herein contained, it is agreed by and between the Parties hereto
as follows:
1. The Parties will participate in the formation of a
not - for - profit corporation to be know as "Deerfield Bicentennial
Sculpture Garden, Inc." ( "CORPORATION "). It is agreed that the
Articles of Incorporation shall provide for twelve directors,
consisting of two members to be appointed by each of the
Parties hereto. In addition, the Parties shall select six
additional directors from a list of candidates to be sub-
mitted by the Village of Deerfield Manpower Commission. Upon
establishment of the Board of Directors, the Board of Directors
shall appoint four (4) officers to act on behalf of the CORPOR-
ATION. Each of the Parties hereto shall have a representative
among the four officers so appointed. Corporate By -Laws shall
be established providing for the operation of the CORPORATION
in a manner consistent with the terms of this Agreement.
2. All development and all major plans for development of
the premises are to be submitted for the review of the Board
of Directors of the CORPORATION. Following approval by-the
Board of Directors of the CORPORATION, all such plans are to
be submitted to the respective governing bodies of each of the
Parties hereto for their approval. No final action shall be
taken, nor financial responsibility undertaken, without the
unanimous approval of all Parties hereto.
3. The VILLAGE shall retain full responsibility for
maintenance of the Bicentennial Sculpture Garden.
4. The newly formed not - for - profit CORPORATION will have
the responsibility of assisting and aiding in the fund raising
efforts to secure the full development of the Becentennial
Sculpture Garden as provided for in development plans presented
and approved.
5.. This Agreement shall remain in full force and effect
until terminated by any of'the Parties hereto.
6. The TOWNSHIP shall not have any responsibility for
payment of, or contribution towards, any costs or expenses of
any nature whatsoever or for any purposes whatsoever. The
TOWNSHIP'S sole participation herein is. in consenting to the

use of a designated portion of its property for such Sculpture
Garden.
IN WITNESS WHEREOF, the Parties have set their hands and
seals on the day and year first above written.
