R-23-30VILLAGE OF DEERFIELD RESOLUTION NO. 2023- R-23-30 WHEREAS, Article VII, Section 10 of the 1970 Illinois Constitution and the Illinois Intergovernmental Cooperation Act, 5 ILCS 220/1, et seq., authorize and encourage intergovernmental cooperation; and WHEREAS, Brian Riley ("Employee's is currently employed by the Village of Northbrook ("Northbrook'); and WHEREAS, in addition to working full-time for Northbrook, the Employee works part-time for the Village providing police dispatch services; and WHEREAS, Northbrook requires the Village to enter into an indemnification agreement ("IGA') for the Employee to continue working part-time for the Village; and WHEREAS, the Village Board has determined that entering into the IGA with Northbrook will serve and be in the best interests of the Village and its residents; and NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE BOARD OF DEERFIELD, LAKE AND COOK COUNTIES, ILLINOIS, as follows: SECTION 1: RECITALS. The Village Board hereby adopts the foregoing recitals as its findings, as if fully set forth herein. SECTION 2: APPROVAL OF INTERGOVERNMENTAL AGREEMENT. The Village Board hereby approves the IGA in substantially the same form as attached to this Resolution as Exhibit A and in a final form approved by the Village Manager. SECTION 3: AUTHORIZATION TO EXECUTE CONTRACT. The Mayor and the Village Clerk are hereby authorized and directed to execute and attest, on behalf of the Village, the final IGA. If the executed copy of the final agreement is not received by the Village Clerk within 60 days after the effective date of this Resolution, then this authority to execute and attest will, at the option of the Mayor and Board of Trustees, be null and void. SECTION 4: AUTHORIZATION TO EXERCISE OPTION TO EXTEND CONTRACT. The Village Board hereby authorizes the Village Manager to exercise, on behalf of the Village, up to four one-year renewals of the IGA ("Extensions') if: (a) the Village Manager determines, in their discretion, that the Extensions are favorable to the Village; and (b) the Extensions are substantially similar to the terms in the IGA. This Resolution is not to be deemed or interpreted as obligating the Village Manager to execute the Extensions. SECTION 5: EFFECTIVE DATE. On Monday, June 19, 2023, at the regularly scheduled meeting of the Mayor and Board of Trustees, the Police Department will seek Approval of a Resolution Approving an Indemnification Agreement with the Village of Northbrook regarding the continued employment of a Part -Time Employee (Dispatcher). Background: As a condition of outside PART-TIME employment, The Village of Northbrook mandates their employee's must have an indemnification agreement (IGA) with the PART-TIME employer. The Village of Deerfield Police Department is the employer of part-time dispatcher Bryan Riley, who has been working with the Village of Deerfield since 1995. The Police Department is seeking to enter into the IGA with the Village of Northbrook. This Resolution would also authorize the Village Manager to exercise on behalf of the Village up to four one-year renewals of the IGA if the extensions are favorable to the Village, and the extensions are substantially similar to the terms in the IGA. The resolution and agreement was reviewed by counsel and the Village Board has previously approved a similar agreement regarding this issue.
