R-22-66VILLAGE OF DEERFIELD RESOLUTION NO. 2022- R-22-66 A RESOLUTION WAIVING COMPETITIVE BIDDING AND APPROVING THE PURCHASE OF MESSAGE BOARDS FROM SHERWIN INDUSTRIES. INC. WHEREAS, the Village of Deerfield ("Village') is a home rule municipality in accordance with Article VII, Section 6 of the Constitution of the State of Illinois of 1970; and WHEREAS, the Village Public Works Department identified a need to purchase two message boards ("Message Boards') for a variety of notification purposes including construction, special events, emergencies, and detours; and WHEREAS, the Village desires to purchase Message Boards manufactured by VER- MAC because they are compatible with the Village's proprietary software that Village staff use to update the messages; and WHEREAS, Sherwin Industries, Inc. of Hampton, Iowa ("Contractor') is the sole source and exclusive supplier of the Message Boards in the Midwest; and WHEREAS, the Village Board has determined that it is in the best interest of the Village to waive competitive bidding and approve the purchase of the Message Boards from Contractor; NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE BOARD OF DEERFIELD, LAKE AND COOK COUNTY, ILLINOIS, AS FOLLOWS: SECTION 1: RECITALS. The Village Board hereby adopts the foregoing recitals as its findings, as if fully set forth herein. SECTION 2: WAIVER OF COMPETITIVE BIDDING. Pursuant to its home rule authority, the Village Board hereby waives the advertising and bidding requirements for the purchase of the Message Boards. SECTION 3: APPROVAL OF PURCHASE. Pursuant to its home rule authority, the Village Board hereby approves a purchase of Message Boards from Contractor for a price not to exceed $33,626.00 pursuant to a purchase order to be approved by the Village Manager. SECTION 4: AUTHORIZATION TO EXECUTE PURCHASE ORDER. The Village Board hereby authorizes and directs the Village President and Village Manager to execute and attest, on behalf of the Village, a purchase order upon receipt by the Village Clerk of at least one original copy of the purchase order executed by Contractor; provided, however, that if the executed copy of the purchase order is not received by the Village Clerk within 30 days after the effective date of this Resolution, then this Resolution will, at the option of the Village Board, be null and void. {00129261.1} SECTION 5: EFFECTIVE DATE. This Resolution shall be in full force and effect from and after its passage and approval according to law.
