AN ORDINANCE AUTHORIZING
THE CONVEYANCE OF REAL ESTATE
WHEREAS, the Village of Deerfield is authorized to acquire real estate, including
the right to exercise eminent domain if necessary, for the purpose of acquiring real estate
for downtown redevelopment purposes pursuant to the provisions of 5/11 -61 -1 and 5/11-
74.4-4 of Chapter 65 of the 1996 Illinois Compiled Statutes; and
WHEREAS, the Village of Deerfield has acquired certain real estate and leasehold
interests within the southwest quadrant of the Village Center Project Area for the purposes
of downtown redevelopment; and
WHEREAS, the Village of Deerfield published a notice requesting bids to develop
the southwest quadrant of the Village of Deerfield; and
WHEREAS, the Village of Deerfield has selected a developer to develop the
southwest quadrant of the Village, and entered into a redevelopment agreement with
Deerfield Square, LLC, a Delaware limited liability company, on February 9, 1998; and
WHEREAS, Deerfield Square, LLC has duly assigned this redevelopment
agreement to Kirby Limited Partnership, an Illinois limited partnership, d /b /a Deerfield
Square Limited Partnership, and Deerland Square, Ltd., an Illinois corporation; and
WHEREAS, under the terms of this redevelopment agreement, the Village of
Deerfield is obligated to convey certain properties pursuant to that redevelopment
agreement.
NOW THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF DEERFIELD, LAKE AND COOK COUNTIES, ILLINOIS,
AS FOLLOWS:
SECTION The Village of Deerfield shall convey fee simple title to
ONE: Deerland Square Ltd., an Illinois corporation, pursuant to the
terms of a redevelopment agreement dated February 9, 1998
between the Village of Deerfield and Deerfield Square, LLC,
as assigned to Deerland Square Ltd.
SECTION Special Counsel for the Village of Deerfield, Joseph T.
TWO: Morrison, is hereby authorized and directed to take all steps
necessary to convey title to the properties described on Exhibit
A to Deerland Square, Ltd., an Illinois corporation, pursuant to,
and consistent with, the aforesaid redevelopment agreement.
Special Counsel Joseph T. Morrison is also authorized to
execute such documents as may be required by Chicago Title
Insurance Company to convey title in a form acceptable to
Deerland Square, Ltd.
