RESOLUTION APPROVING AN
AMENDED AND RESTATED ANNEXATION AGREEMENT
WHEREAS, S. GUY FISHMAN, EDWIN A. McGUIRE, JOSEF J. CEISEL, JAMES
E. O'HALLORAN, JR., LaSALLE NATIONAL BANK, not individually, but as Trustee
under.a Trust Agreement dated April 27, 1977 and commonly known as Trust
No. 52096, LaSALLE NATIONAL BANK, not individually, but as Trustee under a
Trust Agreement dated April 19, 1978 and commonly known as Trust No. 54210,
NORTHBROOK TRUST & SAVINGS BANK, not individually, but as Trustee under a
Trust Agreement dated February 27, 1979 and commonly known as Trust No..'
LT -2048, and NORTHBROOK TRUST AND SAVINGS BANK, not individually, but as
Trustee under a Trust Agreement dated February 27, 1979 and.commonly known
as Trust No. LT -2049, and TRAVENOL LABORATORIES, INC. are the owners of
record and developers of certain real estate, the legal description of which
is set forth in Exhibit A to the attached Amended and Restated Annexation
Agreement (collectively hereinafter referred to as the "Owners "); and
WHEREAS, the Amended and Restated Annexation Agreement also pertains to
and supercedes a certain prior Annexation.Agreement, as amended from time
to time, between the Owners and the Village with respect to.the,tproperty
described in Exhibit A which is referred to in the Amended and Restated
Annexation Agreement as the "Subject Property "; and
WHEREAS, pursuant to the provisions of Section .11.15 -1.1, et seq., of
the Illinois Municipal Code, said Owners submitted to the Corporate Authorities
of the Village of Deerfield a proposed Amended and Restated Annexation
Agreement with respect to the Subject Property, a copy of which is attached
hereto and made .a part hereof; and
WHEREAS, pursuant to notice as required by statute and ordinance, a
public hearing was, held by the Plan Commission of the Village with.respect
to the request of said Owners to obtain a special use permit for its property
as a Special Use - Industrial Planned Development in the I-1 Office, Research,
Restricted Industry District.and to amend and vary the application of the
Village Zoning Ordinance in various respects so as to permit the development
of the Subject Property in the manner proposed in the attached Amended and
Restated Annexation Agreement and Exhibits attached thereto and made a part
thereof, specifically including a Final Plan of Development, and written
findings of fact and recommendations with respect thereto were.made by said
Plan Commission and. submitted to the Corporate Author.ities;. and
WHEREAS, pursuant to notice as required by statute and ordinance a
public hearing was held by the Corporate Authorities of the Village with
respect to the terms and conditions of said Amended and Restated Annexation
Agreement; and
WHEREAS, said Corporate Authorities, after due and careful
consideration, have concluded that the annexation and development of
the Subject Property to the Village on the terms and conditions set
forth in said attached Amended and Restated Annexation Agreement
would further the growth of the Village, enable the Village to
control the development of said property and subserve the best
interests of the Village.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF DEERFIELD, LAKE AND COOK COUNTIES,
ILLINOIS, AS FOLLOWS:
SECTION That the Amended and Restated Annexation Agreement
ONE: between the Village of Deerfield and S. GUY FISHMAN,
EDWIN A. McGUIRE, JOSEF J. CEISEL, JAMES E. O'HALLORAN,
JR., LaSALLE NATIONAL BANK, not individually, but as Trustee under a
Trust Agreement dated April 27, 1977 and commonly known as Trust No.
52096, LaSALLE NATIONAL BANK, not individually, but as Trustee under
a Trust Agreement dated April 19, 1978 and commonly known as Trust
No. 54210, NORTHBROOK TRUST & SAVINGS BANK, not individually, but as
Trustee under a Trust Agreement dated February 27, 1979 and commonly
known as Trust No. LT -2048, and NORTHBROOK TRUST AND SAVINGS BANK,
not individually, but as Trustee under a Trust Agreement dated
February 27, 1979 and commonly known as Trust No. LT -2049, and
TRAVENOL LABORATORIES, INC., along with all Exhibits thereto,
specifically including a Final Plan of Development dated October 27,
1983 prepared by Travenol Laboratories, Inc., a copy of which is
attached hereto and made a part hereof, be and the same is hereby
approved.
SECTION That the Annexation Agreement.'between the Village of
TWO: Deerfield and the Owners, alonq'with all Exhibits
thereto, dated April 8, 1974 and subsequently amended
from time to time, is hereby superseded and is null, void and of no
further legal effect.
SECTION That the President and Clerk of the Village of
THREET Deerfield are hereby authorized and directed to
execute said Agreement.
