RESOLUTION NO. R-22-39
A RESOLUTION APPROVING A BILL OF SALE
FOR THE ACCEPTANCE OF PUBLIC INFRASTRUCTURE IMPROVEMENTS
FOR THE ELYSIAN WAY DEVELOPMENT
(45 Deerfield Road)
WHEREAS, on December 1, 2014, the Village Board adopted Ordinance No. 0-14-
30, granting a special use for a planned unit development to Investcom, LLC
("Developer's, and approving the Final Development Plan for the property commonly
known as 45 Deerfield Road in the Village ("PUD Ordinance'; and
WHEREAS, the PUD Ordinance required the Developer to construct, and the
Village to review and accept, certain public infrastructure improvements within the Village
("Improvements'), which Improvements are described in Exhibit A attached to, and by
this reference made a part of, this Resolution; and
WHEREAS, the Improvements have been constructed and inspected and all punch
list items with respect to the Improvements have been repaired or corrected and approved
by the Village Director of Public Works and Engineering; and
WHEREAS, the Village and the Developer have agreed to enter into a bill of sale
for the transfer of ownership of the Improvements from the Developer to the Village ("Bill
of Sale'; and
WHEREAS, the Village Board has determined that entering into the Bill of Sale
with the Developer will serve and be in the best interest of the Village;
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE BOARD OF
DEERFIELD, LAKE AND COOK COUNTIES, ILLINOIS, as follows:
SECTION ONE: RECITALS. The foregoing recitals are incorporated into, and
made a part of, this Resolution as findings of the Village Board.
SECTION TWO: ACCEPTANCE AND APPROVAL OF BILL OF SALE.
Subject to, and contingent upon, the conditions, restrictions, and provisions set forth in
Section Three of this Resolution, the Improvements shall be, and they are hereby, accepted
by the Village, and the Bill of Sale by and between the Village and the Developer shall be,
and it is hereby, approved in substantially the form attached as Exhibit B.
SECTION THREE: CONDITION. Notwithstanding any use or development right
that may be applicable or available pursuant to the provisions of the Zoning Ordinance or
any other rights that the Developer may have, the approval granted in Section Two of this
Resolution shall be, and it is hereby, expressly subject to and contingent upon the
Developer retaining a maintenance letter of credit for the Village in a form acceptable to
the Village Attorney, guaranteeing the preservation of the Improvements for 24 months
after the effective date of this Resolution.

SECTION FOUR: FAILURE TO COMPLY WITH CONDITION. Upon the
failure or refusal of the Developer to comply with any or all of the conditions, restrictions,
or provisions of this Resolution, the approval granted in Section Two of this Resolution
shall, at the sole discretion of the Village Board, by resolution duly adopted, be revoked and
become null and void; provided, however, that the Village Board may not so revoke such
approvals unless it shall first provide the Developer with two months advance written
notice of the reasons for revocation and an opportunity to be heard at a regular meeting of
the Village Board. In the event of such revocation, ownership and sole responsibility for the
maintenance of the Improvements shall vest in the Developer, and, further, the Village
Manager and Village Board shall be, and they are hereby, authorized and directed to bring
such enforcement action as may be appropriate under the circumstances.
SECTION FIVE: EXECUTION OF BILL OF SALE. The Mayor and the
Village Clerk shall be, and they are hereby, authorized and directed to execute and attest,
on behalf of the Village, the Bill of Sale upon receipt by the Village Clerk of at least one
original copy of the Bill of Sale executed by the Developer.
SECTION SIX: EFFECTIVE DATE. This resolution shall be in full force and
effect upon its passage and approval in the manner provided by law.

EXHIBIT B
BILL OF SALE
INVESTCOM, LLC, an Illinois limited liability company ("Seller'), in consideration of Ten
Dollars and no Cents ($1.0.00) and other good and valuable consideration, receipt of which is
hereby acknowledged, does hereby sell, assign, transfer, and set over to the VILLAGE OF
DEERFIELD, an Illinois home rule municipal corporation ('Buyer', the following
described improvements ("Improvem.ents'�, as shown on the as -built survey dated
January 24, 2022, which is attached hereto as Exhibit 1:
• The water main including service lines from the main up to
and including the curb stop/buffalo box, fire hydrant, valves
and valve vaults (remainder of service lines to be maintained
by the property said service line services);
• The sanitary sewer main and associated structures (not
including the service, lines from the main to the buildings nor
their connections);
• Public sidewalk;
• Public right of way lighting system;
• Elysian Way roadway and associated curb; and
• Storm sewer mains within the right of way of Elysian Way.
The. Improvements that are being transferred to the Village do not
include the following items depicted, on Exhibit 1 and in the
Engineering plans attached as Exhibit 2.
• Storm sewer facilities located within rear yard easements, the
rain garden, and all structures therein,
• Rain garden engineered soil, vegetation, and storm drainage
components located in the center of the cul-de-sac of Elysian
Way, as shown on Exhibit 2;
• Outlot A; and
• Outlot B I Storm Sewer and Storm Detention Easement.
The Buyer agrees to accept the Improvements in an "as -is" condition; provided,
however, that the Seller shall maintain and repair as.necessary, at its sole cost and
expense, the Improvements for a period of not less than 12 months from the date of this Bill
of Sale, in accordance with and pursuant to section 4-11.0: Maintenance Agreement and
Guarantee of the Village of Deerfield Development Code ("Development Code').
The Seller hereby represents and warrants that it is the sole owner of the
Improvements, that it has every right to convey its interest in the Improvements to the
Buyer, and that it has not placed or allowed to be placed on the Improvements any lien or
other encumbrance that has not been discharged as of the date of this Bill of Sale. By
acceptance of this Bill of Sale, the Buyer does accept any and all service, maintenance, and
related obligations pertaining to the Improvements, except as provided by the Development
Code and all applicable laws, statutes, rules and regulations.

The Seller hereby releases, waives, relinquishes, and forever disclaims any and all
possessory and/or proprietary rights, claims, and/or interests that the Seller has, had, or
may have relating to or in any way connected with the Improvements.
The Seller agrees to, and does hereby, hold harmless and indemnify the Buyer and
its elected and appointed officials, officers, employees, agents, representatives, engineers,
and attorneys, from any and all. claims that may be asserted at any time against any of
them in connection with this Bill of Sale or the development, construction, maintenance, or
use of any portion of the Improvements, in accordance with and pursuant to the
Development Code and all applicable laws, statutes, rules and. regulations.
