AN ORDINANCE AUTHORIZING THE EXECUTION OF
A SIXTH AMENDMENT TO THE ANNEXATION AGREEMENT
FOR PARKWAY NORTH
WHEREAS, the corporate authorities of the Village of Deerfield held a public hearing on
July 15, 2013 pursuant to public notice duly given in the manner and form provided by law upon a
proposed Sixth Amendment to Annexation Agreement for certain property described therein located
at the southwest corner of Deerfield Road and Saunders Road and which is part of the Parkway
North development; and
WHEREAS, the corporate authorities of the Village of Deerfield are of the opinion that it is
in the best interests of the Village of Deerfield to approve said Sixth Amendment to Annexation
Agreement, a copy of which is attached hereto as Exhibit A (the "Amendment"), and to authorize the
Village President and Clerk to respectively execute and attest said Amendment for and on behalf of
the Village of Deerfield;
BE IT ORDAINED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE
VILLAGE OF DEERFIELD, LAKE AND COOK COUNTIES, ILLINOIS, in the exercise of its
home rule powers, as follows:
SECTION 1: That the corporate authorities of the Village of Deerfield do hereby authorize
and approve the Sixth Amendment to Annexation Agreement for a portion of the property commonly
known as Parkway North, a copy of which Amendment is attached hereto as Exhibit A hereof.
SECTION 2: That the President and Village Clerk of the Village of Deerfield are hereby
authorized and directed to respectively execute and attest the Sixth Amendment to Annexation
Agreement attached hereto and made a part hereof.
SECTION 3: That this Ordinance, and each of its terms, shall be the effective legislative act
of a home rule municipality without regard to whether such Ordinance should: (a) contain terms
contrary to the provisions of current or subsequent non -preemptive state law; or, (b) legislate in a
manner or regarding a matter not delegated to municipalities by state law. It is the intent of the
corporate authorities of the Village of Deerfield that to the extent that the terms of this Ordinance
should be inconsistent with any non -preemptive state law, this Ordinance shall supersede state law in
that regard within its jurisdiction.
SECTION 4: That this Ordinance shall be in full force and effect from and after its passage
by a vote of two-thirds (2/3rds) of the corporate authorities of the Village of Deerfield and approval
as provided by law.

THIS SIXTH AMENDMENT TO ANNEXATION AGREEMENT (the "Agreement") is
made and entered into as of this ftl4l day of , 2013, by and between the VILLAGE OF
DEERFIELD, ILLINOIS, a municipal corporate (the "Village'), by and through its President
and Board of Trustees (collectively, the "Co orate Authorities"); JBC FUNDS PARKWAY
NORTH LLC, a Delaware. limited liability company ("JBC"), PARKWAY NORTH OWNERS'
ASSOCIATION, an Illinois not -for -profit corporation (the "Association"), and AMERICAN
BOARD OF PSYCHIATRY AND NEUROLOGY, INC., a Delaware non-profit corporation
("ABPN") (collectively JBC, ABPN, and the Association, together with their respective
successors and assigns, are referred to as the "Owners"; and collectively the Village, the
Corporate Authorities, and the Owners are sometimes referred to as the "Parties").
RECITALS:
A. JBC is the Owner of property commonly referred to as Thorngate Health
Club/Daycare Center a/k/a Five Parkway North Center in the Village of Deerfield, Lake County,
Illinois and legally described on Exhibit A attached hereto ("Site 5").
B. JBC is the Owner of property commonly referred to as Six Parkway North Center
in the Village of Deerfield, Lake County, Illinois and legally described on Exhibit B attached
hereto ("Site 6").
C. JBC is the Owner of property commonly referred to as Eight Parkway North
Center in the Village of Deerfield, Lake County, Illinois and legally described on Exhibit C
attached hereto ("Site 8").
D. JBC is the Owner of property commonly referred to as Nine Parkway North
Center in the Village of Deerfield, Lake County, Illinois and legally described on Exhibit D
attached hereto ("Site 9").
E. ABPN is the Owner of property commonly referred to as Seven Parkway North
Center in the Village of Deerfield, Lake County, Illinois and legally described on Exhibit E
attached hereto ("Site 7").
F. The Association is the Owner of certain property in the Village of Deerfield, Lake
County, Illinois and legally described on Exhibit F attached hereto (the "Common Area").

G. Site 5, Site 6, Site 7, Site 8, Site 9, and the Common Area are collectively referred
to as the "Subject Property", a portion of which remains undeveloped.
H. The Parties or their respective predecessors entered into that certain Annexation
Agreement dated as of February 4, 1985, as amended by a certain First Amendment to
Annexation Agreement dated as of October 5, 1987, a certain Second Amendment to Annexation
Agreement dated as of December 3, 1990, a certain Third Amendment to Annexation Agreement
dated as of October 5, 1992, a certain Fourth Amendment to Annexation Agreement dated as of
September 7, 1993, and a certain Fifth Amendment to Annexation Agreement dated as of August
18, 1997 (as amended, the "Annexation Agreement").
I. The Subject Property is a portion of certain "Property" as such term is defined in
the Annexation Agreement, and the only portions of the Property that remain undeveloped are
part of the Subject Property.
J. The Parties desire to ensure the continued development of the undeveloped
portions of the Subject Property in a consistent and harmonious manner that is compatible with
and, subject to the same conditions and restrictions as set forth in the Annexation Agreement,
and accordingly the Parties desire and propose to amend the Annexation Agreement as set forth
herein.
K. JBC is successor to the "Developer" in the Annexation Agreement referenced
below and the Owners (besides the "Association" who was a party to the Annexation Agreement)
are the successors to the "Owners" in the Annexation Agreement with respect to the Subject
Property,
L. The Corporate Authorities, after due and careful consideration, have concluded
that the amendment of the Annexation Agreement on the terms and conditions hereinafter set
forth, and the unified development of the undeveloped portions of the Subject Property, would
further the growth of the Village, increase its tax assessable values, enable the Village to control
the development of the Subject Property and would be in the best interests of the Village.
M. Pursuant to the provisions of Section 5/11-15.1-1, of the Illinois Municipal Code
(Chapter 65, Illinois Compiled Statutes) a proposed Sixth Amendment to Annexation
Agreement, in substantially the same form and substance as this Agreement, was submitted to
the Corporate Authorities and a public hearing was held thereon pursuant to notice as provided
by statute and ordinance.
NOW, THEREFORE, in consideration of the premises and of the mutual covenants and
agreements herein contained, it is hereby agreed by and between the Parties hereto as follows:
1. Applicable Law. This Agreement is made pursuant to and in accordance with
provisions of Section 5111-15.1-1, et se ., of the Illinois Municipal Code (Chapter 65, Illinois
Compiled Statutes).

2. Term of Agreement. Notwithstanding anything to the contrary in the Annexation
Agreement, the term of the Annexation Agreement which currently expires on September 7,
2013, is extended with respect to the Subject Property, to September 7, 2023.
3. Existing Improvements. The Annexation Agreement provides that up to
1,585,583 square feet of Gross Leasable Area (as defined in the Annexation Agreement) may be
developed on the Property. The Parties confirm that as of the date of this Sixth Amendment the
following projects have been constructed on the Property having the Gross Leasable Area (or
"GLA") shown:

Thorngate Healthclub/Daycare Center

The parties also acknowledge that Site 7 of the Subject Property to be known as Seven Parkway
North is a vacant development parcel which has been allocated 49,478 square feet of GLA
according to that certain Fourth Amendment to Amended and Restated Declaration of Protective
Covenants and Easements for Parkway North Center recorded on April 25, 2013 as Document
No. 6985833 with the Lake County, IL Recorder. As a result 449,071 square fee of GLA
(1,585,583 — 1,087,034 — 49,478) remains available to Site 8 of the Subject Property, which is
the other remaining vacant development parcel on the Property. Development of the vacant
parcels shall be subject to the terms and conditions of the Annexation Agreement as amended
hereby.
4. Reaffirmation. In general it is the intent of the Parties that, except as they may
have been specifically amended hereby, all terms and conditions of the Annexation Agreement
are ratified and reaffirmed and shall continue unamended and in full force and effect. Nothing
herein shall be deemed to amend or otherwise affect the Annexation Agreement as it applies to
any portion of the Property other than the Subject Property.
5. Counterparts. This Agreement may be executed in any number of counterparts
each of which shall be deemed an original, but all of which shall constitute one and the same
instrument.
